The Company
The company is a publicly-listed, multi-billion-dollar, global innovator, manufacturer and solutions-provider within the food & beverage sector. Offering a rich history and deep technical know-how, a track record of innovation, broad geographical coverage and products/solutions adopted by the food & beverage industry, it is a verifiable giant. Since its entry into Asia, the company has enjoyed continuous double-digit organic growth and which will be maintained and bolstered by further M&A investment. As a result of its growth ambitions, there is a need to appoint a Singapore-based Legal Counsel.

The Position
Remotely reporting to a Senior Counsel whilst forming part of a lean global team, and closely supporting the APAC MD as a true business partner, the appointed individual will enjoy a business-focused role focused toward Corporate and Commercial advice and solutions across APAC. There will be an accompanying need to sustain governance, compliance and ethics to meet in-house policy and external country laws in which the company operates. A secondary function will be cluster responsibility and oversight of the regional Regulatory and Quality teams and which will include consolidated reporting and monitoring of potential legal issues.
Whilst the position is broad in scope and geography (Greater China, Japan, SE Asia, India and ANZ), attention is anticipated to be focused toward drafting, review and negotiation of commercial contracts and with particular emphasis toward regional M&A transactions and which will include pre-acquisition due diligence and post-acquisition harmonization and integration. Necessarily, the appointee will maintain awareness of the regional regulatory environment whilst advising and mitigating commercial impact, assessing and improving local policies and processes that support the business whilst minimising risk and also managing standard corporate trademark, intellectual property and employment law. There will be an accompanying requirement to sustain the companys strong ethical and integrity codes including the provision of training and coaching. As a sole contributor, there will be a need to deploy and manage external counsel across the region for matters pertaining litigation and transactions.
Who is appropriate: This position best suits a confident, outgoing and resourceful individual with current APAC exposure and looking to further reinforce their CMA experience within a global MNC, partially operating with autonomy yet securing mentoring and coaching from a Senior Counsel.

The Person
Interested candidates should offer a Law Degree (JD), admission to the Singapore bar and no more than 5-10 years PQE secured within both Private Practice and In-house corporate environments. Candidates must offer prior exposure to M&A transactions, demonstrable experience supporting commercial transactions (contracts, supply agreements) complete with negotiation and influencing skills. Interested individuals should offer confidence and gravitas, preferably having been secured through some prior international experience (overseas studies and/or work experience) with an ability to manage internal and external stakeholder relationships. This will be vital given the need for regional collaboration with corporate and functional leadership teams. As China is a critical market, there is a very strong preference for Mandarin language skills to complement an outstanding command of English.
