Job Description

Purpose of the role:

  • To manage and develop a robust governance program in line and in compliance with internal and regulatory requirements.
  • Management of external governance services
  • Work closely with the legal team in Singapore & UK on Groups initiatives
  • Ensure governance program is reviewed and updated annually, where applicable
  • Ensure that the function operates within the approved risk appetite framework and that the appropriate culture, governance and oversight arrangements are in place to effectively manage the risks in the function
  • Implement governance programs in line with internal and regulatory requirements
  • Support implementation of standardized board and committee terms of reference and board processes
  • Assist on various aspects of projects as and when they arise
  • Work with Aviva Group in implementing guidelines, Group policies and best practice
  • Liaise with various department heads in the business units to ensure timely submission of quality Board and committee papers
Effective Risk Management/Governance
  • Champion and advocate the ownership of risk management in own area of the business, ensure risks are understood and managed within approved risk appetite
  • Ensure key risks have been identified, measured, monitored, managed and reported
  • Ensure appropriate levels of risk skills and experience within the team to support consistent risk management practices
  • Drive the legal entity creation and liquidation processes
  • Create and maintain a risk management environment that ensures risks taken by the function are identified, assessed and frequently monitored, managed and reported against
  • Monitoring and ensuring that the governance programs are working
  • Own and maintain a shared drive governance folder
  • Attend and undertake minutes of Board and Committee meetings
  • Liaise with the Board and Committee chairmen to organize agendas, action logs and minutes
  • Work with department heads to ensure adherence to timelines for submission of papers and plan annual calendars Board and Committee meeting agendas
  • Prepare process notes for various functions
  • Liaise with and follow up on business unit contacts in the region to ensure compliance with local Companies Acts requirements in respect of directors and company details
  • Adhere to Group timelines for submission of papers requiring Group company approvals
  • Develop and run the subsidiary governance principles framework for the entities in Asia

  • Degree in Law or equivalent
  • Have basic knowledge about MAS and IA requirements on corporate governance, and in-depth knowledge of what is required under Singapore Companies legislation and governance codes
  • Management and organizational skills
  • Ability to tackle new areas of responsibility without prior experience
  • Have a common sense attitude and an ability to adapt to various requirements of the Group and local governance structures
  • Knowledge of Blueprint database is helpful but not essential
  • Resilient, self-motivated and adaptable
  • Capable of communicating vision and intent, and motivating and inspiring the delivery team
  • Ability to engage and manage Stakeholders across multiple areas and levels (as appropriate)
  • Good negotiator and can resolve disputes
  • Ability to build good working relationships with team
  • At least 5 years of relevant experience, preferably in the regulated/financial services industry
  • Experienced in attending and minuting live Board or committee meetings
