Job Description

A) Key Responsibilities

1. Assist the CEO to discharge the responsibilities and duties of Ex-Officio Secretary as

defined in the SPD Constitution

2. Organise Board meetings, prepare meeting agenda, and take minutes of meeting for

review and approval

3. Support the CEO by following up on the administrative actions as required by the

Board

4. Coordinate and organise event e.g. Annual General Meeting (Pre and Post) and any

ad-hoc meetings as requested by the Board

5. Develop and implement good corporate governance practices, ensuring that the

organisation complies with the relevant legislations and regulations including

CorpPass and PDPA

6. Provide advice to the CEO and other senior management on the requirements of

various Statutory Acts and Regulations to ensure compliance (e.g. Employment Act,

Charity Act and PDPA) and update all parties from time to time on any changes

7. Review and give advice on for legal documents, contracts and agreements such as

funding agreements, training deeds, MOUs, etc (only for those with legal

background)

B) Job Holder Requirement

1. Possess Diploma in Corporate Administration or a Degree equivalent

2. Legal background will be an added advantage

3. At least 5 years of related work experience as corporate secretary

4. Experience in handling corporate secretarial works

5. Good spoken and written English

C) Technical Competencies

1. Proficient in MS office

2. Use of technological resources to aid and improve work efficiencies

3. Good knowledge of Charity Code of Governance preferred

4. Good communication, customer service and relationship-building skills

D) Generic Competencies

1. Excellent Organisation and Coordination skills

2. Ability to deal with ambiguity, multi-task, meet deadlines and work with minimal

supervision as well as under pressure
